Hi We were set up as a small CIC with the original founders as directors/members.However, when writing the the Articles of Association they omitted the line which makes the clear definition that directors and members are one and the same.
Over the years, directors have resigned and we have just discovered that they may still be members - even though we have no membership list. Some of the other ex-directors left acrimoniously, so we don't really want to prod any hornets nests unless we have to.
We currently have two directors who we treat as members - this is how it appears on our current Articles of Association.
WE obviously want to close the loophole in our Articles, but are unsure if we have to call a members meeting to do this, and if this includes all past directors who may still be members?
Any help would be much appreciated!
