hi there, iam currently setting up a cic ltd by guarantee..

iam struggling with my governance structures..

part of the business supports/provides local diversionary programs of which the different entities wish to be part of our steering group but not directors. as their own positions do not allow this.

can i register as a sole director initially with a view to adding further

positions as things develop.

if so how is this to be legally structured in the cic 36 etc..

also how do i word the governance element.. ie trustee's/ board/council or such.

some of the steering group will local authorities so the position will not be a physical body but a representative of.

any help or guidance would be much appreciated.

thanks steve

Quick answer would be yes

Quick question: If a CIC is a subsidiary of a charity, the relationship would be stated in the Articles of both organisations, is that correct?

Mostly right, the trustees dont have to be on the board though, they could simply engage as part of their trustee responsibilities and the formal relationship between the two.
