I'm not sure if this question has been answered already. But I could do with a little assistance in this area.
I'm currently setting up a CIC and would like to be a member of the board. In saying this I intend for my company to carry out some of the work when we apply for grants. Would it be best to change my company into a CIC or create a new CIC and receive funding to enable my company to carry out work. Sorry if this sounds confusing... this is all very new to me!

The bird of paradise is an exotic perennial that is hardy to plant in USDA growing zones 9 through 11 where there's a low risk of frost or cold damage. Bird of paradise plants tend to be heavy feeders and require frequent fertilizer and water applications through the growing season to keep healthy.

I'm currently setting up a local choir for asylum seekers. The choir will work alongside an existing charity that provides asylum seekers with other services.
We will be looking to apply for grants to fund the choir. Our main cost will be to pay for the choir leader: we expect both our income and costs to be small.
We are currently researching what the best structure for an organisation of this type is: CIC Vs Charity Vs Other.
Our considerations at the moment…Continue

My company has a convoluted system of retirement (based on annual retirement by thirds) for our Directors.
I cannot see anything in model Articles or the Companies Act 2006 that says this is a duty or preference and I would like to amend our AoA accordingly. Has anyone got experience of Director retirements that might help me please?

More help for CIC's.
1 HSBC refuse to give us a business credit card because they insist we are a not-for-profit and MUST have a constitution whereas we are a CIC limited by guarantee with Articles of Association.
2 HMRC state CIC's show profits and must pay Corporation Tax but as a CIC has a "surplus" that is ploughed back into our business not a "profit" for directors.
3 99% of grant making trusts do not recognise CIC as having "charitable" objects whereas the Nat…Continue

I have come across two instances when HMRC have accepted that the CIC is not trading for tax purposes. It issometimes a bit difficult to contact with HMRC but if you are a not for profit CIC it may be worth the effort

We are looking to register a CIC to offer sport in the community, and have a youth football club(N/P) that would like to be with us and for our directors to manage the club, however the club wants to retain its name is this possible I assume would be a subsidiary of our CIC.
Any views comments please
Hi - We have been incorporated as a CIC since 2012. Recently we were asked whether we has an asset lock in place. I had assumed this was just an integral part of our governance. However I now feel we should perhaps have a specific entry in our constitution. It is actually quite a useful question at this time as we are hoping to get a new van & upgrade our IT and so forth. How have other CICs handled this issue?
CICs are subject to the important company law changes coming soon. One of the most important (and the most difficult to deal with) is the obligation to find out 'persons with significant control' and report their details to Companies House.
From 6 April a CIC has a legal obligation to find out who its PSC are and to make a Register of PSCs.
The scope of these new rules is wide and they are very complex (the draft non-statutory guidance runs to 86 pages!).
From 30 June…Continue
