CIC Regulator: freedom of Information request

I recently asked the CIC regulator a few questions about their powers and enforcement of those powers under a FOI request. I'm not sure how to upload their response (can I post it anywhere?). Most notably, over past 5 years, 310 CICs investigated. 0 CIC's had enforcement action against them.

Articles of Association help is need, please

“Youth Ocean Action CIC” is being formed as a platform to educate young people on an International basis about the dangers of Plastic Pollution as they are generally more enthusiastic about environmental issues once they are fired up.

We are planning an International Conference in Eastbourne in May 2019 to teach them how to reduce the amount of plastic reaching our Oceans, as well as how to reduce what is already there. This will be 3 day Conference where we will…

CIC and reinvesting money.

As the CIC can I charge people for services and reinvest money for social purpose? e.g. Charge people which are in employment and reinvest money to cover charges of services for unemployed people or to charge people to cover expenses of prints, handouts for training sessions.

invoicing and self employed

Good morning,

My friend and I have set up Lovemindfulness cic to teach mindfulness in schools.

We have established with the local authority that we are exempt from ir35 because we are interchangeable. They are invoicing lovemindfulness for our services.

So far so good.

Now, as self employed mindfulness teachers, we invoice lovemindfulness.

We think that, because we also do work outside lovemindfulness, we are compliant with employment legislation.

Can I be a director and a deliverer?

I'm not sure if this question has been answered already. But I could do with a little assistance in this area.

I'm currently setting up a CIC and would like to be a member of the board. In saying this I intend for my company to carry out some of the work when we apply for grants.  Would it be best to change my company into a CIC or create a new CIC and receive funding to enable my company to carry out work. Sorry if this sounds confusing... this is all very new to me!

CIC Vs Charity Vs Other for Local Choir

I'm currently setting up a local choir for asylum seekers. The choir will work alongside an existing charity that provides asylum seekers with other services.

We will be looking to apply for grants to fund the choir. Our main cost will be to pay for the choir leader: we expect both our income and costs to be small.

We are currently researching what the best structure for an organisation of this type is: CIC Vs Charity Vs Other.

Our considerations at the moment…

Funding Available for CIC's

I have access to a pool of wealthy investors willing to make loans to CIC's provided they can get tax relief on their loans.  Any CIC's looking for in excess of £50k, for a commercial project, I would like to hear from you.

Retirment of Directors

My company has a convoluted system of retirement (based on annual retirement by thirds) for our Directors.

I cannot see anything in model Articles or the Companies Act 2006 that says this is a duty or preference and I would like to amend our AoA accordingly. Has anyone got experience of Director retirements that might help me please?

More help and awareness needed

More help for CIC's.

1  HSBC refuse to give us a business credit card because they insist we are a not-for-profit and MUST have a constitution whereas we are a CIC limited by guarantee with Articles of Association.

2 HMRC state CIC's show profits and must pay Corporation Tax but as a CIC has a "surplus" that is ploughed back into our business not a "profit" for directors.

3 99% of grant making trusts do not recognise CIC as having "charitable" objects whereas the Nat…
