Just looking at model arts for ltd by guarantee / large membership and rule 52 is 'exclusion of model articles' and states 'the relevant model articles for a co ltd by guarantee are hereby expressly excluded'.


Can anybody explain what this means - makes me confused!

The Companies Act (Model Articles) Regulations 2008 which came into force on 01 October 2009 provide model articles for private companies limited by guarantee or shares:

These model articles are not suitable for community interest companies as they do not contain the statutory clauses appropriate to CICs.  To assist CICs the Office of the Regulator of Community Interest Companies has prepared their own set of articles which include the statutory clauses (highlighted in red). This is also the reason that CICs have to select Option 3 in section A7 of the Companies House form IN01 " I wish to adopt entirely bespoke articles .....".  The Regulator recognises that this may cause confusion and has highlighted the need for CICs to select Option 3 on our Forms page:
