    I wonder if anyone can offer advice regarding the following situation?

    We're e a small CIC... initially when we had ideas about setting up the business we each put £10 in a 'kitty' to buy some essentials.. when a business consultant came along to help us with the business plan he suggested that this money be seen as shares (which we agreed to).  As yet the small amount of money generated has gone back into the company, so none of us have actually taken any sort of wage... one of the Directors resigned about a month ago (who was one of the signatories) the bank are now asking us for a copy of her share transfer certificate.... so although we kept a record of each persons £10 we didn't use official share certificates (and to be quite honest haven't even considered the share element of the business) we now appreciate we'll have to formalise this and have looked on the net and found some certificates to buy  for about a fiver which is ok but we're still not sure about the 'share transfer certificate' 

    Of course we're happy to repay the £10 but it's the whole formality of it that's a pain!

    I'd appreciate any suggestions/advice/help
